This Data Processing Agreement ("DPA") is entered into between Validly Pty Ltd (ACN 660 129 939) trading as Juno ("Juno", "we", "us") and the Customer and forms part of, and is governed by, the agreement between Juno and the Customer governing the Customer's use of the Services (the "Agreement").
This DPA applies to Juno's Processing of Customer Personal Data on behalf of the Customer in providing the Services.
Where this DPA conflicts with the Agreement in relation to the Processing of Customer Personal Data, this DPA prevails. Where the Standard Contractual Clauses apply and conflict with this DPA or the Agreement, the Standard Contractual Clauses prevail to the extent of the conflict.
Capitalised terms used but not defined in this DPA have the meaning given in the Agreement.
Juno operates Hey Juno, a digital research platform that uses artificial intelligence to conduct structured, conversational research interviews on behalf of Customers and to process research material into transcripts, analysis and related outputs.
In this DPA:
Applicable Data Protection Laws means, to the extent applicable to the relevant Processing:
(a) the Privacy Act;
(b) the GDPR and applicable laws of the European Union or European Economic Area implementing or supplementing the GDPR; and
(c) any other privacy, data protection or data security law applicable to a party's Processing of Customer Personal Data under the Agreement.
APPs means the Australian Privacy Principles in Schedule 1 to the Privacy Act.
Anonymous Data means information that has been irreversibly anonymised so that it no longer relates to an identified or identifiable individual and cannot reasonably be used, alone or together with other information available to Juno, to identify an individual.
Commissioner means the Australian Information Commissioner and, where the context requires, the Office of the Australian Information Commissioner.
Controller, Data Subject, Personal Data, Processing, Processor and Supervisory Authority have the meanings given in the GDPR where the GDPR applies and include the corresponding concepts under other Applicable Data Protection Laws.
Customer means the person or entity that has entered into the Agreement with Juno.
Customer Data means data submitted to, collected through or generated through the Services by or on behalf of the Customer, its Authorised Users or Participants.
